CANADIAN ASSOCIATION OF NUCLEAR MEDICINE
BRITISH COLUMBIA CHAPTER

This charter is for discussion and ratification at our upcoming meeting.

I ARTICLE 1 – LEGAL STATUS AND AFFILIATION


1.1 Legal Status
The Canadian Association of Nuclear Medicine – British Columbia Chapter Society (the “Society”) is a not-for-profit society incorporated under the British Columbia Societies Act.
1.2 Affiliation
The Society is formally affiliated with the Canadian Association of Nuclear Medicine (“CANM”), a federal not-for-profit corporation.
1.3 Conditional Recognition
Recognition of the Society as a CANM Chapter is conditional upon ongoing compliance with:

  • this Charter
  • CANM By-laws and policies
  • any Affiliation Agreement and Branding License entered into with CANM
    Loss or revocation of affiliation automatically terminates the Society’s status as a CANM Chapter.

II ARTICLE 2 – PURPOSE AND OBJECTIVES

2.1 Purpose
The purpose of the Society is to advance the mission, objectives, and strategic priorities of the field of Nuclear Medicine within the Province of British Columbia.
2.2 Objectives
The Society’s objectives include:

  • supporting the practice, education, and advancement of nuclear medicine in British Columbia
  • facilitating professional collaboration among nuclear medicine stakeholders in the province
  • organizing provincial scientific, educational, and professional activities
  • supporting CANM national initiatives at the provincial level where applicable
  • contributing to workforce, education, and clinical capacity development within British Columbia

III ARTICLE 3 – SCOPE OF AUTHORITY

3.1 Provincial Limitation
The activities of the Society are strictly limited to the Province of British Columbia.
3.2 Institutional Interaction
Notwithstanding Article 3.1, the Society may interact with CANM National and, where applicable, with other CANM-recognized provincial chapters solely for purposes of coordination, information sharing, or participation in CANM-led initiatives. Such interactions shall not constitute interprovincial operations and shall not confer any authority beyond the Province of British Columbia.
3.3 No Interprovincial Authority
The Society shall not initiate, lead, or represent national activities, nor act on behalf of CANM outside the Province of British Columbia.

IV ARTICLE 4 – ADVOCACY AND PUBLIC REPRESENTATION

4.1 Advocacy Role
The Society may engage in non-partisan advocacy related to nuclear medicine within British Columbia, provided such activities align with CANM positions and strategic priorities and comply with applicable laws.
4.2 Public Statements
Public statements on policy, regulatory, or system-level matters shall comply with CANM communication and escalation protocols.
4.3 Lobbying Compliance
Where applicable, the Society shall comply with all lobbying registration and disclosure requirements in British Columbia.

V ARTICLE 5 – GOVERNANCE AND ACCOUNTABILITY

5.1 Governance Framework
The Society shall be governed in accordance with its Terms of Reference and Bylaws, consistent with this Charter.
5.2 Fiduciary Duties
All directors and officers shall act honestly, in good faith, and in the best interests of the Society and CANM.
5.3 Reporting Obligations
The Society shall provide CANM activity reports quarterly, annual financial statements, and any additional information reasonably requested by CANM.

VI ARTICLE 6 – FINANCIAL PRINCIPLES

6.1 Financial Autonomy
The Society may maintain its own bank account and manage provincial revenues and expenditures, and provide any information reasonably requested by CANM.
6.2 Use of Funds
All funds shall be used exclusively to advance the purposes of the Society and CANM.
6.3 Restrictions
The Society shall not incur national-level liabilities or financial commitments on behalf of CANM without express authorization.

VII ARTICLE 7 – BRANDING AND INTELLECTUAL PROPERTY


7.1 Ownership
The CANM name, logos, trademarks, and branding elements remain the exclusive property of CANM.
7.2 License
The Society may use CANM branding only pursuant to a written, non-exclusive, revocable license granted by CANM.
7.3 Termination of Use
Upon termination of affiliation, all use of CANM branding shall cease immediately.

VIII ARTICLE 8 – MEMBERSHIP ALIGNMENT

8.1 Alignment Principle
Membership categories and eligibility within the Society shall align with CANM membership structures and policies.
8.2 No Independent National Membership
The Society shall not create membership categories that conflict with or duplicate CANM national membership authority.

IX ARTICLE 9 – AMENDMENTS


9.1 Approval Requirement
This Charter may not be amended without the prior written approval of CANM.
9.2 Consistency Requirement
All amendments must remain consistent with CANM By-laws, policies, and strategic direction.

X ARTICLE 10 – DISSOLUTION


10.1 Asset Reversion
Upon dissolution, all remaining assets of the Society shall be transferred to CANM or, where not legally permissible, to a not-for-profit organization with aligned purposes as approved by CANM.
10.2 No Private Benefit
No assets shall be distributed to members, directors, or officers.

XI ARTICLE 11 – EFFECTIVE DATE


This Charter shall take effect upon adoption by the Society in accordance with applicable law.
